The Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Partner") and SOCIALCATALLYZT, a tech fulfilment network operating in Nigeria. By registering as a Partner, completing the onboarding process, or submitting a gig, you confirm that you have read, understood, and agreed to be bound by these Terms.

These Terms apply to all aspects of the Partner relationship including commission earnings, gig submissions, client interactions, brand usage, and conduct on the SOCIALCATALLYZT platform.

Plain English summary: By joining and using SOCIALCATALLYZT as a Partner, you agree to these rules. They exist to protect both you and us, and to make sure everything runs cleanly and fairly.

Partner Role & Independence

You are an independent Partner, not an employee, agent, or representative of SOCIALCATALLYZT. You operate your own brand, set your own prices, and manage your own client relationships. Nothing in this agreement creates an employment, joint venture, or franchise relationship.

  • You are free to operate under any business name you choose
  • You are responsible for your own tax obligations on your earnings
  • SOCIALCATALLYZT is your fulfilment partner, not your employer
  • You may work with other service providers simultaneously
  • You are solely responsible for how you present services to your clients

Commission Structure & Payout

SOCIALCATALLYZT pays Partners a 15% commission on the agreed base price of every successfully delivered project. This is in addition to any markup the Partner charges their client above the base price.

  • Commissions are paid to the bank account registered in your Partner profile
  • SOCIALCATALLYZT reserves the right to withhold commission if a gig is cancelled due to Partner fault
  • Disputes over commission amounts must be raised within 7 days of the payout date
  • Commission rates may be revised with 30 days' written notice

Pricing, Markup & Client Quotes

Partners are entirely free to set their own prices when quoting clients. SOCIALCATALLYZT publishes base prices only — these are the internal costs charged to Partners for fulfilment, and are not intended as suggested retail prices.

  • You may quote any amount to your client regardless of the base price
  • Your entire markup (client quote minus base price) belongs to you
  • You must collect payment from clients independently — SOCIALCATALLYZT does not invoice your clients
  • You are responsible for paying SOCIALCATALLYZT the base price before or upon gig submission
  • Base prices shown in the Service Catalogue are subject to change with notice

Important: Do not share SOCIALCATALLYZT's internal base prices with your clients. These are confidential Partner rates and are not for public disclosure.

Confidentiality & White-Label Policy

SOCIALCATALLYZT operates as a silent fulfilment partner. Your clients should not know that SOCIALCATALLYZT is involved in the delivery of their project unless you explicitly choose to disclose this.

  • Do not disclose SOCIALCATALLYZT's name, base prices, or processes to clients without written consent
  • All work is delivered white-label — under your brand, not ours
  • Do not share Partner Portal access, login credentials, or pricing sheets with third parties
  • Client data submitted via the portal must not be used outside the scope of the relevant gig
  • This confidentiality obligation survives termination of the Partner agreement

Partner Conduct & Obligations

Partners are expected to conduct themselves professionally in all client and SOCIALCATALLYZT interactions. The following conduct is strictly prohibited:

  • Submitting fraudulent, misleading, or fabricated gig briefs
  • Attempting to circumvent the commission structure or payment process
  • Disparaging SOCIALCATALLYZT to clients or in public forums
  • Soliciting SOCIALCATALLYZT's team members, designers, or developers for direct work
  • Submitting gigs with no genuine client relationship
  • Using the portal for any illegal, fraudulent, or harmful purpose

Partners are responsible for the accuracy of all briefs submitted. Inaccurate or incomplete briefs that cause project failure may result in forfeiture of commission.

Termination

Either party may terminate the Partner relationship at any time. Partners may close their account via the Profile settings page. SOCIALCATALLYZT may suspend or terminate a Partner account for breach of these Terms, fraudulent activity, or conduct that damages the reputation of the network.

  • Upon termination, all active gig commissions will be assessed and paid or withheld on a case-by-case basis
  • Confidentiality obligations survive termination indefinitely
  • Any unpaid base price balances become immediately due upon termination
  • SOCIALCATALLYZT reserves the right to refuse re-registration following termination for cause

Limitation of Liability

SOCIALCATALLYZT is a fulfilment service and does not guarantee specific business outcomes, client conversions, or earnings for Partners. While we endeavour to deliver all projects to the highest standard, we are not liable for:

  • Client dissatisfaction arising from the Partner's brief being inaccurate or incomplete
  • Lost business opportunities, lost profits, or indirect damages
  • Delays caused by Partner failure to provide necessary content or approvals
  • Third-party platform issues (social media, hosting, app stores)

Our total liability to any Partner in any calendar year shall not exceed the total commission paid to that Partner during that year.

Amendments to These Terms

SOCIALCATALLYZT may update these Terms from time to time to reflect changes in our services, legal requirements, or business model. When material changes are made:

  • Partners will be notified via email and in-portal notification at least 14 days before changes take effect
  • Continued use of the Partner Portal after the effective date constitutes acceptance of the updated Terms
  • Partners who do not accept the updated Terms may close their account before the effective date without penalty

Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from this agreement that cannot be resolved amicably shall be submitted to binding arbitration in Abuja, Nigeria, under the Arbitration and Conciliation Act.
